The Company is in the process of raising money from investors.  The money will be raised by "private placements" and not from any type of "public offering."  Investors must qualify and meet certain conditions in order to invest.  Investors may only invest in accordance with the terms of a private placement memorandum and other subscription documents to be provided by the Company.
